Please read these Terms & Conditions carefully before using ZookOut's platform, website, or mobile application. By accessing or using ZookOut, you confirm that you have read, understood, and agreed to be bound by these terms.

1. About ZookOut

ZookOut is a verified deal and voucher marketplace owned and operated by ZookOut Global Private Limited & PROMENA LLP, a company incorporated under the laws of India. ZookOut connects users with partner outlets by offering verified, time-bound digital vouchers for experiences including restaurants, salons, spas, amusement parks, resorts, and online services.

2. Eligibility

• You must be at least 18 years of age to register, access, or use ZookOut.
• By using this platform, you represent that you are a legal resident of India and are legally capable of entering into a binding contract.
• ZookOut reserves the right to refuse access or terminate accounts of users who do not meet eligibility criteria.

3. Account Registration & Responsibility

• You are responsible for maintaining the confidentiality of your account login credentials.
• All activities carried out through your account are your sole responsibility.
• Notify us immediately at info@zookout.com if you suspect any unauthorised access to your account.
• ZookOut is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Voucher Terms

• Each voucher listed on ZookOut is pre-verified with the partner outlet before it is made available for purchase.
• Vouchers are valid only at the specific outlet and for the specific deal mentioned at the time of purchase.
• Vouchers must be redeemed within the validity period displayed at the time of purchase. Expired vouchers will not be honoured under any circumstances.
• Vouchers are non-transferable — they can only be used by the person who purchased them.
• Vouchers cannot be combined with any other offer, discount, membership, or loyalty programme at the outlet unless explicitly stated on the deal page.
• The partner outlet reserves the right to request a valid government-issued photo ID before redeeming a ZookOut voucher.
• ZookOut is not responsible if a voucher expires due to non-use, personal reasons, or the user's failure to redeem within the valid period.

5. Pricing & Payments

• The voucher price shown on ZookOut is the amount payable to ZookOut to purchase the voucher. This is separate from the outlet price — the amount paid directly to the partner outlet at the time of redemption.
• All prices displayed are inclusive of applicable taxes unless stated otherwise.
• Payments are processed through secure, PCI-DSS compliant third-party payment gateways (such as Razorpay). ZookOut does not store your card or banking details on its servers.
• ZookOut reserves the right to change voucher prices at any time without prior notice.
• In case of a failed transaction where the amount is debited but the voucher is not issued, the amount will be refunded within 7–10 working days after investigation.

6. Refund & No-Refund Policy

All voucher purchases on ZookOut are final and non-refundable. Once a voucher is purchased and payment is confirmed, no refund will be issued, as per ZookOut's company policy.

Refunds will be considered only in the following cases:

• Technical failure: Payment was debited but the voucher was not issued due to a system error on ZookOut's platform.
• Duplicate charge: A duplicate transaction occurred due to a payment gateway error.
• Outlet permanently closed: The partner outlet permanently shuts down after purchase but before redemption — in which case ZookOut will offer a replacement voucher or platform credit of equal value.

To raise a refund concern, email info@zookout.com within 48 hours with your Order ID and payment screenshot. Our team will respond within 3 working days.

7. Cancellation Policy

• Orders cannot be cancelled after payment is confirmed and the voucher is issued.
• If you have accidentally purchased a wrong voucher, contact us at info@zookout.com within 2 hours of purchase. We will review the case but cannot guarantee a refund or exchange.
• ZookOut reserves the right to cancel a voucher order in cases of suspected fraud, misuse, or Terms violation — in which case a full refund will be processed within 7 working days.

8. Prohibited Activities

You agree not to engage in any of the following:

• Misuse, duplication, or fraudulent redemption of vouchers.
• Reselling ZookOut vouchers on any third-party platform.
• Creating fake accounts or using false identity information.
• Attempting to hack, disrupt, or reverse-engineer ZookOut's platform.
• Using the platform for any unlawful or unauthorised purpose.
• Posting false reviews, misleading information, or defamatory content about ZookOut or its partner outlets.

Violation of any of the above may result in immediate account suspension without notice and legal action where applicable.

9. Partner Outlet Responsibility

• ZookOut acts as a marketplace and is not the provider of the services offered by partner outlets.
• The quality, availability, and delivery of services is solely the responsibility of the partner outlet.
• ZookOut does not guarantee the quality, safety, or legality of services provided by partner outlets.
• Any dispute regarding service quality must be raised directly with the partner outlet. ZookOut may assist in mediation but is not obligated to do so.

10. Intellectual Property

• All content on ZookOut — including the logo, brand name, deal descriptions, images, and website design — is the intellectual property of ZookOut Global Private Limited.
• You may not copy, reproduce, modify, distribute, or use any ZookOut content without prior written permission.
• ZookOut™ is a registered trademark of ZookOut Global Private Limited (owned by PROMENA LLP). Unauthorised use is strictly prohibited.

11. Limitation of Liability

• ZookOut's total liability to any user shall not exceed the voucher purchase amount paid by that user for the specific transaction in dispute.
• ZookOut is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or partner outlets.
• ZookOut is not liable for service failures caused by third parties, partner outlets, payment gateways, or internet service providers.
• ZookOut does not guarantee uninterrupted or error-free availability of the platform.

12. Termination

• ZookOut may suspend or permanently terminate your account at any time if you violate these Terms, without prior notice.
• You may deactivate your account at any time by writing to info@zookout.com or using the Delete Account option on the platform.
• Upon termination, your right to use the platform ceases immediately. Unused vouchers at the time of termination due to a Terms violation will not be refunded.

13. Dispute Resolution

In the event of any dispute or grievance, we encourage you to first contact our support team at info@zookout.com. We aim to resolve all complaints within 7 working days.

If a resolution is not reached, the dispute shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Mumbai, Maharashtra.

14. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

16. Changes to These Terms

ZookOut reserves the right to update or modify these Terms at any time. Changes will be communicated via email or an in-app notification. Continued use of the platform after changes constitutes your acceptance of the revised Terms.

Disclaimer

Zookout, operated by ZookOut Global Private Limited & PROMENA LLP, is a discovery and savings platform that lists offers, deals, vouchers, and experiences from independent merchants, including restaurants, hotels, spas, salons, activity providers, D2C brands, and other participating businesses (“Merchants”).

Zookout is not the service provider. Zookout does not own, operate, manage, or control any Merchant’s business. The products and services behind each offer are provided solely by the Merchant, and any service contract for them is between you and that Merchant.

Merchant responsibility. Each Merchant is solely responsible for its products and services, including their quality, hygiene, safety, availability, staff conduct, and delivery, and for complying with all applicable laws, licences, tax, health and safety, and consumer protection requirements. Merchant details are displayed on each listing.

No guarantee of merchant services. While Zookout makes reasonable efforts to work with reputable Merchants, it does not guarantee the quality, suitability, or safety of any Merchant’s products or services. Concerns about food, service, hygiene, delays, or staff behaviour should first be raised with the Merchant. Zookout will assist where it reasonably can.

What Zookout remains responsible for. Zookout is responsible for securely processing your payment, issuing valid vouchers, displaying offer details as provided by Merchants, and refunding you under our Refund Policy if a Merchant refuses to honour a valid voucher, closes, or withdraws an offer you have paid for.

Changes to offers. Offers, prices, menus, hours, and availability are set by Merchants and may change or be withdrawn. Changes apply to new purchases only. If a change materially affects a voucher you already bought, you may request a refund. Please read each offer’s terms before purchasing or redeeming.

Platform integrity. Zookout may suspend, remove, or reject any Merchant, offer, listing, or account where reasonably necessary to protect customers, prevent misuse, or comply with the law.

Limitation of liability. To the extent permitted by applicable law, Zookout, its owners, directors, employees, and affiliates are not liable for any loss, injury, or damage arising from a Merchant’s products, services, acts, or omissions. Where Zookout is held liable in connection with a purchase, its liability is limited to the amount paid for the relevant voucher. Nothing in this disclaimer limits Zookout’s liability for its own negligence, fraud, or misrepresentation, or your rights under the Consumer Protection Act, 2019.

Complaints. For any complaint, contact our Grievance Officer, Nizam Saifi, at info@zookout.com or [phone]. We acknowledge complaints within 24 hours and aim to resolve them within 15 days.
